POSITION SUMMARY
The General Counsel (GC) will serve as a member of the executive leadership team and a strategic partner to the CEO and the Board of Directors. This position reports to the CEO. This position will oversee the global legal functions within Mirum. Responsibilities will span a wide range of duties ensuring that the company operates in accordance with all legal requirements. The focus will be to oversee and direct general corporate legal matters, securities compliance, mergers and acquisitions, intellectual property, license agreements, labor and employment matters, data governance and strategy, privacy incident management and response, artificial intelligence governance and ethics, and cybersecurity matters.
This position requires an onsite presence in Foster City, CA, offering the opportunity to be deeply integrated into Mirum’s thriving company culture.
JOB FUNCTIONS/RESPONSIBILITIES
Legal Oversight and Strategy
- Provide counsel to the executive team, Board of Directors, and senior management on all legal matters affecting the business, including corporate governance, mergers and acquisitions, contracts, litigation, intellectual property, and labor and employment matters.
- Assess and manage legal risks across the organization, develop proactive legal strategies, and ensure that legal exposure is appropriately minimized while enabling the business to grow.
- Oversee legal aspects of Mirum’s mergers and acquisition activities, including due diligence, transaction documents, regulatory filings, and other relevant workstreams.
- Manage the company’s intellectual property portfolio, including patents, trademarks, copyrights, and trade secrets. Advise on licensing agreements, IP enforcement, and risk mitigation.
- Counsel contracts team in negotiating complex commercial agreements, vendor agreements, business associate agreements, and data sharing agreements.
- Work closely with the Head of IT, who leads Information Security, on various data security topics.
Leadership and Team Management
- Build and lead cross-functional teams in the legal departments to foster a culture of accountability and high performance.
- Oversee the budget ensuring resources are allocated effectively and efficiently.
- Work with senior leadership to set the corporate strategy and monitor performance and ensure that strategic objectives are met.
QUALIFICATIONS
Education/Experience:
- US based law degree from accredited law school and active member of a state bar or registration as in-house counsel.
- Minimum of 20 years of legal experience in an “in-house” role with a life science company, relevant law firm experience, and/or government experience.
Knowledge, Skills and Abilities:
- Excellent communication skills and the ability to convey complex legal issues clearly.
- A desire to be part of a high-growth, transformational company.
- Proven track record of success in building and leading high-performing teams and solid managerial experience at the executive level.
